Schleifenbaum & Adler offers comprehensive counsel in all the major areas of commercial and company law and economic law. In commercial law, it is important to have extensive knowledge of the various special rulings (for example, not only the regulations contained in the German Commercial Code (Handelsgesetzbuch - HGB), but also commercial custom) that affect legal relations between businesspersons under civil law. These legal relations range from commercial purchasing, through commission and freight business, to despatching, transport and the storage and warehousing business. Our activities in the field of commercial law also include issues involving company law, law governing commercial representation and commercial brokering, and matters in connection with power of attorney and authority to act (we also include here problems involving law governing insolvency and matters governed by banking law). The German Commercial Code also sets out basic provisions governing balance-sheet law and basic rules of company law for commercial companies (»OHG« and »KG« companies) and dormant partnerships, and hence also lays down legal provisions for company law. The area of company law of course also covers provisings set out in laws and regulations on shares, limited liability companies, joint-stock companies, and cooperative companies.
